So, my bike's a '93 and she's been around....in the sun I mean, and so the clear coat covering the decals on the tank is starting (continuing) to chip.  Plus the tank decal has a rockin 80s purple color scheme going on, and that's gotta go.

Just thought I'd ask what anyone else with an older GS has done about this.  You think I really need to repaint it in order to replace the tank decal?  I used to work at a sign shop so I know all about vinyl decaling, but I'm not so much of a painter.  Would it be posible to sand off the remaining clear coat covering the decal, slap the new decal on, and then fill in with clear coat?

Thanks for the help, plus if anyone has opinions on anything decal oriented feel free to comment.

I'd say no: too much work, too little reward. Have the tank repainted (probably around $100 if you look) and put the decal on over the clearcoat. Then you can change if you feel like it.
